Terms
What applies when you order a website from us.
Translation. Only the German version of these terms is legally binding. This translation is provided for convenience and has been prepared with care.
§ 01 Scope
These general terms and conditions (the «terms») apply to all website orders placed through the shop on guetgfunde.ch. The provider is Care Match Personalmarketing GmbH, c/o ExpertFid & Audit SA, Baarerstrasse 135, 6300 Zug, Switzerland (hereinafter «Guet gfunde»).
The offer is directed exclusively at companies, sole proprietors and organisations. By ordering, the customer confirms that they are purchasing the service for their professional or commercial activity.
The version of these terms valid at the time of the order applies. Conflicting terms and conditions of the customer do not apply, even if Guet gfunde does not expressly object to them.
§ 02 Conclusion of the contract
By submitting the order and accepting these terms, the customer makes a binding offer. The contract is concluded as soon as Guet gfunde confirms the order by email, sends the invoice or starts the work. A separate signature is not required.
This applies to every payment method, including payment in advance by invoice. Payment is not a condition of the contract. The customer owes the amount even if the invoice is not paid.
Guet gfunde may refuse orders without giving reasons. In that case, any amount already paid is refunded in full. The customer has no further claims.
§ 03 Services
The scope of services is set out exhaustively in the product description in the shop at the time of the order:
- Website: up to 10 pages with texts and images, built for mobile and desktop.
- Brand website: like the website, plus a brand language, a film that plays as visitors scroll and a shop. Costs of payment providers and ongoing fees for the shop are borne by the customer.
One language is included in the fixed price. Each additional language costs CHF 130 plus VAT and includes the translation of the website content into that language.
Domain and hosting are not included in the fixed price. Guet gfunde puts the website live on the existing domain or on a domain chosen by the customer. § 04 applies to domain and hosting.
Guet gfunde determines design, technology and implementation at its own professional discretion, taking the customer's information into account. Guet gfunde may use tools for texts, images and code, including artificial intelligence tools, and may involve third parties.
Services outside this scope, for example additional pages, a shop for the website (amount depending on the size of the shop), interfaces or fundamental changes to the approved concept, are additional services. They are only provided on the customer's instruction and charged on a time and materials basis or according to a separate quote.
§ 04 Domain and hosting
Domain and hosting with Guet gfunde are optional if the customer already has their own domain. Without hosting, if the current website runs on Wix, Jimdo, Squarespace, WordPress or another website builder, Guet gfunde rebuilds it directly on that platform. Otherwise Guet gfunde delivers the finished website as files.
Guet gfunde offers domain and hosting for CHF 79 per month plus VAT. This includes running the website on a server, the domain, a security certificate (SSL), technical server updates, support by email and three small changes per month, for example a new text, a new image, new opening hours, a price, a banner or a special offer created by the customer. Changes not used expire at the end of the month.
Hosting starts with the website going live and is invoiced monthly in advance. The customer can cancel it at any time by email with effect from the end of the current month. If the customer needs a new domain, hosting with Guet gfunde is mandatory and runs for at least 12 months. It is still invoiced monthly. Anyone who pays 12 months in advance when ordering receives 14 months of hosting and maintenance (2 months free). If the customer cancels before the end of the prepaid period, the advance payment is not refunded.
In the event of late payment, Guet gfunde may take the website offline after a reminder until all outstanding amounts have been paid. Guet gfunde may adjust the fee with 3 months' notice.
After cancellation and full payment, Guet gfunde transfers the domain to the customer or to a provider named by the customer. The time spent on the transfer and handover of the files may be charged. Anyone who organises domain and hosting independently bears the costs and responsibility for them.
§ 05 No promise of success
Guet gfunde builds the website according to recognised standards for search engine optimisation (SEO), usability (UX/UI) and effectiveness (conversion). Specific results such as rankings on Google, visitor numbers, enquiries, orders or job applications depend on factors outside Guet gfunde's influence and do not form part of the agreed services.
§ 06 Prices
The fixed prices in the shop at the time of the order apply. All prices are in Swiss francs plus VAT at 8.1 %. Promotional prices apply only to orders placed by the stated date.
§ 07 Payment
- Website: 100 % on ordering.
- Brand website: 50 % on ordering and 50 % before going live. The second half is due within 10 days of notice of completion.
Payment is made online by TWINT or card via the payment provider Payrexx, or in advance by invoice. For payment by invoice, the customer receives an invoice with a QR payment slip by email. It is payable without deduction within 10 days of the invoice date. Guet gfunde starts work once payment has been received. However, Guet gfunde may also start work as soon as the order is received, for example for payment by invoice. The website is only goes live and is handed over after full payment.
When the payment period expires, the customer is in default without any reminder being required. The customer then owes default interest of 5 % and a reminder fee of CHF 50 per reminder. If the customer is more than 30 days in default, Guet gfunde may, at its choice, uphold the contract and claim the amount or withdraw from the contract. In the event of withdrawal, amounts already paid remain with Guet gfunde as compensation for the work done. The customer must also compensate Guet gfunde for any further costs and damage incurred beyond that.
The customer may not set off their own claims against claims of Guet gfunde. Unjustified reversals of a payment (chargeback) are considered late payment. The resulting fees and costs are borne by the customer.
§ 08 Customer cooperation
The customer provides all information, documents and approvals that only they can supply, completely and on time, as a rule within 10 days of the request. This includes, for example, the logo, information about the customer's products and services, opening hours, the customer's own photos and the login details for the existing domain. If Guet gfunde rebuilds the website in a third party system such as Wix, Jimdo, Squarespace or WordPress, the customer provides access with a username and password or a temporary password. Guet gfunde uses this access only for the order and deletes it afterwards.
If the customer does not deliver on time, the deadlines are extended accordingly. If the customer does not respond for more than 30 days despite a reminder, Guet gfunde may complete the website with the available content and consider it delivered, or close the project. The full price remains due in both cases.
The customer is responsible for ensuring that they may use all content they supply and that it does not infringe any third party rights. The customer indemnifies Guet gfunde against all third party claims arising from this content.
§ 09 Delivery time
The delivery time is as a rule 2 weeks for the website and 3 weeks for the brand website. It begins as soon as payment has been received and Guet gfunde has all the customer's information. The delivery time is a guideline and not a fixed date. Exceeding it entitles the customer neither to withdraw nor to claim damages, as long as Guet gfunde delivers the website within a reasonable period.
§ 10 Draft and corrections
The customer first receives a draft. After that, five rounds of corrections are included in the price. A round of corrections comprises all change requests that the customer communicates together in a single message. Feedback in several parts counts as several rounds.
Corrections are adjustments within the ordered scope and the chosen concept. A new concept, a different style or additional content are not corrections but additional services. Unused rounds of corrections expire upon acceptance or if the customer gives no feedback for 14 days.
§ 11 Money back guarantee
If the customer does not like the first draft, they can withdraw from the contract within 7 days of its delivery by email to marti.simon@guetgfunde.ch. Guet gfunde then refunds the amount paid within 10 days. The customer has no further claims.
The guarantee applies once per customer and only until the first round of corrections. It lapses if the customer requests a correction, approves the draft or lets the period of 7 days expire. After a withdrawal, all rights to the draft remain with Guet gfunde and the customer may not use it in whole or in part.
§ 12 Acceptance and going live
After the last round of corrections, the customer approves the website. The website is deemed accepted when the customer approves it, asks for it to go live or uses it themselves, but and in any event if the customer has not responded within 5 days of notice of completion.
The customer must report defects in writing within 5 days of acceptance, hidden defects immediately after their discovery. Guet gfunde remedies reported defects by rectification in the manner it sees fit. Further warranty claims such as price reduction or withdrawal are excluded to the extent permitted by law.
§ 13 Withdrawal by the customer
If the customer withdraws from the contract other than under the money back guarantee, amounts already paid remain with Guet gfunde. For the brand website, the customer also owes payment for the work done up to that point on a time and materials basis, capped at the full price.
If the customer has not yet paid, for example in the case of payment by invoice, and withdraws, the customer owes the full price for the website and the first half for the brand website, in each case less the expenses Guet gfunde saves due to the withdrawal (art. 377 Swiss Code of Obligations). This is without prejudice to the money back guarantee.
§ 14 Rights
All rights to drafts, design, texts, images and code remain with Guet gfunde until the price has been paid in full. After that, the customer receives the perpetual and non transferable right to use the website for their own business.
Guet gfunde remains the owner of the copyright and may reuse its own components, templates, techniques and processes for other projects. On request, Guet gfunde hands over the files of the finished website after full payment. The time spent on the handover may be charged.
Guet gfunde may show the website with the customer's name and logo as a reference and include a discreet credit to Guet gfunde in the footer of the website. The customer may object by email to being named as a reference.
§ 15 Third party providers
Services of third party providers such as hosting, domain registration, payment providers, fonts, image sources or maps are subject to their terms. Guet gfunde is not responsible for their availability, prices or changes.
§ 16 Liability
Guet gfunde is only liable for damage it has caused intentionally or through gross negligence. Any further liability is excluded to the extent permitted by law, in particular for slight negligence, acts of auxiliary persons, indirect damage, consequential damage, lost profit, lost orders, loss of data and outages of or attacks on servers and services of third parties.
Insofar as Guet gfunde is liable, liability is limited to the amount paid by the customer for the order concerned.
The customer is responsible for the legal compliance of the content on their website, for example the legal notice, privacy policy, price information and advertising claims. Guet gfunde does not carry out a legal review of this content.
§ 17 Data protection
How Guet gfunde processes personal data is set out in the privacy policy (in German). The customer is responsible for personal data processed via the customer's own website.
§ 18 Communication
Communications by email are deemed to be in writing. The customer's email address from the order and marti.simon@guetgfunde.ch are the relevant addresses for this purpose.
§ 19 Final provisions
Guet gfunde may change these terms at any time. For existing orders, the version valid at the time of the order applies. Guet gfunde may transfer rights and obligations under the contract to third parties. These terms are also available in German, French and Italian. Only the German version is legally binding.
If any provision of these terms is invalid, the remaining provisions remain valid. The invalid provision is replaced by a valid one that comes closest to its purpose.
§ 20 Applicable law and place of jurisdiction
Swiss law applies exclusively, excluding the United Nations Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction is Zug. Guet gfunde may also sue the customer at their registered office.
